10 Governing Law and Jurisdiction

These Terms of Service and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by, and construed in accordance with, the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law provisions.

You agree that any legal action, suit, or proceeding arising out of or related to these Terms or the Website shall be instituted exclusively in the courts of the Province of Ontario, located in the City of Toronto, and you irrevocably submit to the exclusive jurisdiction of such courts for the purpose of any such action, suit, or proceeding.

You waive any objection to the exercise of jurisdiction over you by such courts and to venue in such courts. If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect, and the invalid or unenforceable provision will be deemed modified to the minimum extent necessary to make it valid, legal, and enforceable while preserving its intent as closely as possible.

11 Dispute Resolution

In the event of any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to resolve disputes (collectively, "Disputes"), the parties agree to first attempt to resolve the matter through informal negotiation.

You agree to contact us at [email protected] with a written description of the Dispute, including any relevant documentation and your proposed resolution. We will respond to your communication within thirty (30) business days. Both parties agree to negotiate in good faith for a period of at least sixty (60) days from the date of the initial written notice before pursuing any formal legal remedies.

If the Dispute cannot be resolved through informal negotiation within the sixty-day period, either party may pursue resolution through binding arbitration administered by the ADR Institute of Ontario, in accordance with its rules and procedures then in effect. The arbitration shall take place in Toronto, Ontario, and shall be conducted in the English language. The decision of the arbitrator shall be final and binding upon both parties, and judgment on the arbitration award may be entered in any court of competent jurisdiction.

Notwithstanding the above, either party retains the right to seek injunctive or other equitable relief in a court of competent jurisdiction in Toronto, Ontario, to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights or confidential information. Nothing in this section shall prevent either party from seeking relief through applicable consumer protection mechanisms available under Ontario or Canadian law.

12 Termination

We reserve the right to restrict, suspend, or terminate your access to all or any part of this Website at any time, with or without cause, with or without notice, and effective immediately. This includes the right to block specific IP addresses, geographic regions, or device types from accessing the Website.

Grounds for termination or restriction of access may include, but are not limited to:

  • Violation of any provision of these Terms of Service
  • Engagement in conduct that we determine, in our sole discretion, to be harmful to the Website, its users, or our interests
